You are reading this because Pulso has requested your permission to use your social media content in our own social profiles.
If you choose to allow us to use your User Generated Content (“UGC”) by agreeing when we send you a comment or private message to request it, you agree to these Terms and Conditions.
Pulso regularly utilizes social listening, as well as other tactics, to identify UGC photos, tweets, graphics, audio, video, comments, private messages, and other materials created by users on various social media sites. We intend to use it in connection with our news/media purposes and overall content strategy, which might include the use of our logo.
Pulso reserves the right to revise and/or alter these Terms and Conditions without advance notice. We suggest you review this document each time you grant permission or authorization to feature your UGC.
You hereby grant Pulso worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable, modifiable, sublicensable right to use your content in any manner to be determined at Pulso’ sole discretion, including but not limited to webpages and social media profiles operated by Pulso, as well as in promotional e-mails and advertisements (on social media outlets and others,) and in any and all other marketing, promotional, and advertising initiatives, as well as any media now or hereafter known. Pulso may use, display, reproduce, distribute, transmit, create derivative works from, combine with other materials, alter, promote, and/or edit your content in any manner in their sole discretion, with no obligation to you whatsoever.
You grant Pulso the right to use your username, real name, image, likeness, descriptions of you, location, or other identifying information, such as your voice, in connection with any use of the content you agree to share with us.
You hereby agree and represent and warrant that (i) you are solely responsible for your UGC, (ii) you own all rights to your UGC and/or have obtained appropriate rights and permissions from any and all other persons and/or entities who own, manage or otherwise claim any rights with respect to such content, (iii) you are not a minor and certify that you are at least 18 years of age, (iv) Pulso’s use of your UGC as described herein will not violate the rights, including but not limited to copyright, trademark, patent, trade secret, privacy, publicity, moral, proprietary, or other rights of any third party, or any law, rule, or regulation, and (v) the UGC is not libelous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, offensive, discriminatory, or otherwise unlawful.
You hereby release, discharge, and agree to hold Pulso, and any person acting on their behalf, harmless from any liability related in any way to Pulso’s use of your UGC.
The UGC that you allow Pulso to use is deemed non-confidential, and Pulso has no obligation to maintain the confidentiality of any information, in whatever form, contained in any submission, except pursuant to Pulso’ respective privacy policies. If you do not agree to the collection, use, and disclosure of your personal information in this way, please do not grant us the right to use your UGC in the ways outlined herein.
Pulso reserves the right to remove any UGC from any of its aforementioned outlets if deemed no longer necessary or applicable.
Pulso may be protected by copyright, trademark, and other intellectual property laws. You acknowledge and agree that you do not acquire any ownership or other rights in proprietary information and materials of Pulso by authorizing use of your UGC or otherwise accessing our various media outlets where your UGC is displayed.
These Terms and Conditions are personal to you and may not be assigned or transferred by you for any reason whatsoever without Pulso’s prior written consent. Any action or conduct in violation of the foregoing shall be void and without effect.
You agree that if Pulso does not exercise or enforce any legal right or remedy which is contained in these Terms and Conditions, this will not be taken to be a formal waiver of Pulso’s rights and that those rights or remedies will still be available to Pulso.
If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms and Conditions are invalid, that provision will be removed without affecting the rest of the Terms and Conditions, in which case the remaining provisions will continue to be valid and enforceable.
